Toolsdj.biz operates a website that provides a digital record and/or video pool service primarily
for music industry professionals and is owned and operated by Tuneful Echoes, LLC. (a US corporation).
Our digital record pool service (“Service”) will deliver promotional music and/or video and information
(“Material”) regarding artists and labels through our website worldwide primarily to authorized music
industry and non-broadcast/non-resale professionals and promoters. As applicable, for use only in
(a) WITHIN UNITED STATES – ASCAP, BMI & SESAC performance rights compliant venues for promotional
purposes only as defined by the US Copyright Act, and
(b) OUTSIDE UNITED STATES – licensed performance venues as indicated by your country’s laws.
CAREFULLY READ THESE TERMS OF USE.
This Terms of Use Agreement (“Agreement”) sets forth the legally binding terms for your use of
the Toolsdj.biz website and/or Service. By using the Toolsdj.biz website and/or Service,
you agree to be bound by this Agreement, whether you are a “Visitor” (which means that you simply browse
the Toolsdj.biz website), a “Customer” (which means that you have a registered account and
purchased something from the Toolsdj.biz website), or you are a “Subscriber” (which means that
you have subscribed to the Service on the Toolsdj.biz website). You are only authorized to use
the Toolsdj.biz website (regardless of whether your access or use is intended) if you agree to
abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it.
If you do not agree with it, you should leave the Toolsdj.biz website and discontinue use of the
Toolsdj.biz Service immediately if you are a Subscriber. If you wish to become a Customer or
Subscriber, you must read this Agreement and indicate your acceptance during the registration
(“Account”) process.
The following Terms of Use outline your obligations when using the Toolsdj.biz website.
By applying for a Toolsdj.biz Membership online, the Licensee/Subscriber agrees to and acknowledges the
preceding statements, and the following:
- Grant:
Toolsdj.biz grants to you a non-exclusive, non-transferable license to review and download Materials
on the website (up to two times per version) for promotional and personal/professional (i.e., noncommercial/non-resale) purposes only. Downloads are subject to usage limits: a daily limit of 1,000 downloads or 3GB of data (whichever is reached first), and a monthly limit of 100,000 downloads or 15GB (whichever is reached first). Except as set forth here, no interest, title, rights, or license to any software, documentation, hardware, or any intellectual property embodied or used in connection with the Materials, or the website, is transferred to you. By using the Toolsdj.biz Service, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; and (c) your use of the Toolsdj.biz Service does not violate any applicable law or regulation, (d) you shall indemnify Toolsdj.biz against any breach or violation by you of this Agreement/law.
- Termination:
This Agreement is for an ongoing term, not specific in length, which may be terminated by either party
without written notice. If Toolsdj.biz believes you are misusing your access to the website or that
your login information has been compromised, your registration will be terminated immediately.
Notwithstanding the foregoing, Toolsdj.biz may terminate your Account and access to the Service at
any time, for any reason, without warning. Even after your Account is terminated, this Agreement
will remain in effect.
- Fees:
You acknowledge that Toolsdj.biz does and/or reserves the right to charge for the Toolsdj.biz Service
and to change its fees from time to time in its discretion, and to charge customary late fees (the
Subscription information is incorporated herein by reference). If Toolsdj.biz terminates your Account
because you have breached the Agreement, you shall not be entitled to a refund of any unused portion
of subscription fees. If you cancel your Toolsdj.biz account before the renewal term, you shall not
be entitled to the refund of any unused portion of subscription fees.
- Password:
When you sign up to become a Customer or Subscriber, you will also be asked to choose a password.
You are entirely responsible for maintaining the confidentiality of your password. You agree not to
use the account, username, or password of another Customer or Subscriber at any time or to disclose
your password to any third party. You agree to notify Toolsdj.biz immediately if you suspect any
unauthorized use of your account or access to your password. You are solely responsible for any and
all use of your account.
- Users:
Users include, but are not limited to, Program Directors, Music Directors, Production Directors,
and Mixers of licensed radio stations, as well as college radio, satellite, internet, club, and
mix show DJs. Information provided by potential users shall be verified. Upon verification,
the user will have access to the Toolsdj.biz Service. Users shall be required to have and maintain
an e-mail address on file with Toolsdj.biz.
- Content:
The Content Providers retain ownership of any and all copyright, trademark, publicity, privacy,
and/or any other intellectual property rights they may have in the Materials (as Toolsdj.biz is
an independent sub-contractor to non-exclusively market and promote the Content). Toolsdj.biz retains
ownership in the website and any underlying programming, object code, source code, scripting, designs,
or systems therein.
- Copyright Policy:
The Material available through the Service is the property of the Content Providers or its licensors
(or Toolsdj.biz) and is protected by copyright, trademark, patent, and other intellectual property
laws. You may NOT substantially modify, distribute, or reproduce in any way any copyrighted Material,
trademarks, or other proprietary information belonging to others (for profit or otherwise), and you
have no right to provide any files obtained through the Service to any other party through any other
means, without obtaining the prior written consent of the owner of such proprietary rights. If you
believe that your work has been copied and posted on the Toolsdj.biz website in a way that constitutes
copyright infringement, please provide our Copyright Agent with the following information:
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
- A description of the copyrighted work that you claim has been infringed;
- A description of where the Material that you claim is infringing is located on the Toolsdj.biz website;
- Your address, telephone number, and email address;
- A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright
owner or authorized to act on the copyright owner’s behalf.
Once such documentation has been received and signature accepted by an authorized Toolsdj.biz officer,
all offensive content will be removed from the Website or Service. Notwithstanding the foregoing,
you shall be allowed to reasonably live edit, re-mix, blend, mash-up, add intros/outros, compile
and create derivative works of the content and perform the content offline in customary media
(i.e., spinning at clubs/radio, mixshows, audience-driven events, etc.), solely for promotional
and non-commercial personal/professional use purposes, and with proper credit given to the content
providers and underlying performers, producers, songwriters.
- Disclaimers:
Toolsdj.biz is not responsible for any incorrect or inaccurate content posted on the Toolsdj.biz
Website or Service, whether caused by Visitors of the Toolsdj.biz Website or Service or by any of the
equipment or programming associated with or utilized in the Toolsdj.biz Website or Service. The
Toolsdj.biz Services are provided “AS-IS” and “as available,” and Toolsdj.biz expressly disclaims
any warranty of fitness for a particular purpose or non-infringement. Toolsdj.biz cannot guarantee
and does not promise any specific results from use of the Toolsdj.biz Website or Service. Toolsdj.biz
may, in its sole discretion and at any time without penalty or liability, discontinue providing
the Service without notice. Your sole remedy against Toolsdj.biz for dissatisfaction with the site
or any content is to stop using the site or any such content. This limitation of relief is a part
of the bargain between the parties. The above disclaimer applies to any damages, liability, or
injuries caused by any failure of performance, error, omission, interruption, deletion, defect,
delay in operation or transmission, computer virus, communication line failure, theft or destruction
of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence,
or any other cause of action.
- Limitation on Liability:
IN NO EVENT SHALL Toolsdj.biz BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL,
EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM
YOUR USE OF THE WEBSITE OR SERVICE, EVEN IF Toolsdj.biz HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, Toolsdj.biz’s LIABILITY TO YOU FOR ANY
CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT
PAID, IF ANY, BY YOU TO Toolsdj.biz FOR THE Toolsdj.biz SERVICE DURING THE TERM OF MEMBERSHIP.
- Disputes:
If there is any dispute about or involving the Toolsdj.biz Website or Service, you agree that the dispute
shall be governed by the laws of the State of New York, USA, without regard to conflict of law provisions,
and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United
States located in the State of New York, City of New York. Either Toolsdj.biz or you may demand that
any dispute between Toolsdj.biz and you about or involving the Toolsdj.biz Website or Service must be
settled by arbitration utilizing the dispute resolution procedures of the American Arbitration
Association (AAA) in New York, New York, USA, provided that the foregoing shall not prevent
Toolsdj.biz from seeking injunctive relief in a court of competent jurisdiction.
- Indemnity:
You agree to indemnify and hold Toolsdj.biz, its subsidiaries, and affiliates, and their respective officers,
agents, partners, and employees, harmless from any loss, liability, claim, or demand, including reasonable
attorneys’ fees, made by any party due to or arising out of your use of the Toolsdj.biz Website or
Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach
of your representations and warranties set forth above and/or if any content that is posted on the
Toolsdj.biz Website or through the Toolsdj.biz Service causes Toolsdj.biz to be liable to another.
- Privacy:
Toolsdj.biz’s current privacy policy is available only on the Toolsdj.biz website (and is incorporated
herein by reference). Notwithstanding the foregoing, you acknowledge that Toolsdj.biz has the right to
compile non-confidential/non-personal demographic and aggregate user data to attract additional labels
and advertisers (and to use for its general promotions).
- DMCA:
Toolsdj.biz receives music, in various audio formats, from independent artists, record labels, producers,
and other sources. Due to the volume of submissions, it is difficult to regulate all content submissions.
Therefore, we claim protection under the Digital Millennium Copyright Act, Title 17, United States
Code, Section 512. If you are a content owner who finds suspected infringed content, please email us
at support@toolsdj.biz.
The DMCA has required all notices of suspected infringed content be in written correspondence.
- Miscellaneous/Other:
This Agreement is accepted upon your use of the Toolsdj.biz Website or any of the Toolsdj.biz Service
and is further affirmed by you obtaining an Account. This Agreement constitutes the entire agreement
between you and Toolsdj.biz regarding the use of the Toolsdj.biz Website and Service. The failure of
Toolsdj.biz to exercise or enforce any right or provision of this Agreement shall not operate as a
waiver of such right or provision. The section titles in this Agreement are for convenience only and
have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law.
If any provision of this Agreement is unlawful, void, or unenforceable, that provision is deemed
severable from this Agreement and does not affect the validity and enforceability of any remaining
provisions. You must be of legal age to use the Service.
15. Accurate Data Requirement
15.1 Obligation to Provide Valid Information
All subscribers, customers, or visitors must provide valid, accurate, and up-to-date contact
information during registration and throughout their use of the Toolsdj.biz Service.
This includes, but is not limited to, your name, address, email, instagram account, and telephone number.
15.2 Consequences of Providing False Data
Providing falsified, incomplete, or otherwise inaccurate contact details is a violation of this
Agreement and may result in immediate suspension or termination of your account. Toolsdj.biz reserves
the right to deny access to the Service and/or revoke any membership without refund if it determines
that false information was provided at any point.
15.3 Account Restoration
If your account is suspended or terminated due to inaccurate information, you may request reinstatement
by providing valid and verifiable data. Toolsdj.biz, in its sole discretion, will determine if the
data meets our accuracy requirements and whether your membership should be reinstated.
16. No-Refund Policy for Monthly Memberships
16.1 Monthly Membership Fees
All monthly subscription fees are payable in advance and are non-refundable once the billing cycle
has commenced. This policy applies irrespective of whether you have fully used the Service during
the subscription period.
16.2 Service Delivery
Our digital audio and/or video materials are provided immediately upon successful payment processing.
Therefore, once you gain access to our Service and Materials, no refunds or prorated reimbursements
will be offered for partial or unused service.
16.3 Exceptions
Refunds may be considered solely at the discretion of Toolsdj.biz in situations where there has been
an evident error in billing or where the law requires a refund. Under no circumstances will refunds
be issued for user dissatisfaction if the Materials and/or Service have been delivered as described.
Furthermore, any misuse of the platform — including mass downloading of content, drawing undue attention, or employing scraping techniques — will result in the forfeiture of any refund eligibility.
17. Account Suspension or Ban
17.1 Violation of Terms
Toolsdj.biz may suspend, block, or ban your account if it determines that you have violated any of the
provisions in this Agreement, including but not limited to using false data (Section 15) or attempting
to resell or redistribute our Materials in violation of Section 1 of this Agreement.
17.2 Reinstatement
If your account is suspended or banned, you may contact us to request reconsideration. Toolsdj.biz
will evaluate the circumstances, including the severity and frequency of violations, and may, at its
sole discretion, reinstate your membership under certain conditions or permanently terminate your access.
17.3 Effect of Suspension/Ban on Disputes
If your account is banned or suspended due to a violation of these Terms, any dispute or chargeback
you initiate related to fees will be evaluated in light of the documented violations. Toolsdj.biz
retains the right to provide evidence of the breach to credit card processors, banks, payment gateways,
or any relevant authorities to contest unjustified disputes or claims.
By completing registration or using the Toolsdj.biz Service, you acknowledge that you have read,
understood, and agreed to these Terms of Use, including Sections 15, 16, and 17, which address
the Accurate Data Requirement, our No-Refund Policy for Monthly Memberships, and Account Suspension/Ban respectively.

demoras en el pago (la información de la Suscripción se incorpora aquí como referencia). Si Toolsdj.biz
cancela su Cuenta porque ha incumplido este Acuerdo, usted no tendrá derecho a un reembolso de las
tarifas de suscripción que no haya utilizado. Si usted cancela su cuenta en Toolsdj.biz antes del
término de renovación, tampoco tendrá derecho a reembolso de la parte no utilizada de las tarifas
de suscripción.
- Contraseña:
Cuando se registre para convertirse en Cliente o Suscriptor, también se le pedirá que elija una
contraseña. Usted es completamente responsable de mantener la confidencialidad de su contraseña.
Usted se compromete a no utilizar la cuenta, nombre de usuario o contraseña de otro Cliente o
Suscriptor en ningún momento, ni a divulgar su contraseña a terceros. Usted se compromete a notificar
inmediatamente a Toolsdj.biz si sospecha un uso no autorizado de su cuenta o acceso a su contraseña.
Usted es el único responsable de cualquier uso que se haga de su cuenta.
- Usuarios:
Los usuarios incluyen, entre otros, Directores de Programación, Directores de Música, Directores de
Producción y DJs de estaciones de radio con licencia, así como DJs de radio universitaria, satélite,
internet, clubes y “mix shows”. La información proporcionada por posibles usuarios será verificada.
Una vez verificada, el usuario tendrá acceso al Servicio de Toolsdj.biz. Todos los usuarios deberán
tener y mantener una dirección de correo electrónico válida registrada en Toolsdj.biz.
- Contenido:
Los Proveedores de Contenido conservan la propiedad de todos los derechos de autor, marca registrada,
publicidad, privacidad y/o cualquier otro derecho de propiedad intelectual que puedan tener sobre
los Materiales (ya que Toolsdj.biz es un subcontratista independiente para comercializar y promover
el Contenido de manera no exclusiva). Toolsdj.biz conserva la propiedad del sitio web y de cualquier
programación, código objeto, código fuente, secuencias de comandos, diseños o sistemas subyacentes.
- Política de Derechos de Autor:
El Material disponible a través del Servicio es propiedad de los Proveedores de Contenido o de sus

ha sido copiado y publicado en el sitio web de Toolsdj.biz de una manera que constituye una violación
de derechos de autor, proporcione a nuestro Agente de Derechos de Autor la siguiente información:
- Una firma electrónica o física de la persona autorizada para actuar en nombre del propietario

promocionales y no comerciales/profesionales, y dando el debido crédito a los proveedores de contenido
y a los intérpretes, productores, compositores subyacentes.
- Renuncias de responsabilidad (Disclaimers):
Toolsdj.biz no se hace responsable de ningún contenido incorrecto o inexacto publicado en el sitio
web o el Servicio de Toolsdj.biz, ya sea causado por Visitantes del sitio web o Servicio de Toolsdj.biz,
o por cualquier equipo o programación asociada o utilizada en el sitio web o Servicio de Toolsdj.biz.

CONSECUENTES, EJEMPLARES, INCIDENTALES, ESPECIALES O PUNITIVOS, INCLUIDOS PÉRDIDAS DE GANANCIAS
QUE SURJAN DE SU USO DEL SITIO WEB O SERVICIO, INCLUSO SI Toolsdj.biz HA SIDO INFORMADO DE LA

16. Política de No Reembolso para Membresías Mensuales
16.1 Tarifas de Membresía Mensual

16.3 Excepciones

infracciones, y podrá, a su entera discreción, restaurar su membresía bajo ciertas condiciones
o terminar permanentemente su acceso.
17.3 Efecto de la Suspensión/Bloqueo en Disputas
Si su cuenta es bloqueada o suspendida debido a una violación de estos Términos, cualquier disputa
o contracargo que inicie relacionado con tarifas será evaluado en función de las violaciones
